BRZE +50% on Salesforce's $47.50 cash deal (58% premium), CRM −2%: it's a spread trade now, not a momentum trade

Post by LondonNewsTrader »

Salesforce (CRM) is buying Braze (BRZE), the AI customer-engagement/marketing platform, for about $5.66bn. Terms:

- $47.50 per Braze Class A share in cash, a 58% premium to Monday's $30.04 close
- BRZE was halted briefly pre-market, then reopened around $45.3, roughly +50%
- Closing is expected in Salesforce's fiscal 2028 (their year ends in January, so that's February 2027 at the earliest), subject to Braze shareholder and regulatory approval
- CRM is down about 2% and was one of the weakest Dow names in the first half hour

For scalpers, the BRZE side is basically done. With a fixed cash price and a long close, the stock trades like a short-dated bond: at ~$45.3 the gross spread is a bit over $2, or roughly 5%, for holding until sometime in 2027. Expect the intraday range to shrink and liquidity to come from arb desks, not momentum buyers. The only real moves from here are a competing bid, or regulators or the vote making the spread blow out.

The tradeable side is the acquirer. CRM sold off on the headline, which fits the market's habit lately of punishing big software buyers for spending cash instead of buying back stock. If the first flush gets bought, that usually means the market accepts the deal. If CRM keeps making lower highs into lunch, the selling has more to go.

The speculative read-across is to other mid-cap marketing-tech and customer-data names (Klaviyo, HubSpot and similar) on takeover chatter. To be clear, I've seen no reports of other deals, so treat any sympathy pop as a headline trade.

Anyone trading the CRM reaction today, or do you leave acquirers alone on deal day? And does a ~5% spread with a 2027 close interest anyone here, or is that strictly for the arb funds?
