Freight M&A on a Monday: C.H. Robinson (CHRW) agreed to acquire RXO in a stock-and-cash deal with an implied value of about $5.8B. Standard terms are $17.25 cash plus 0.0856 CHRW shares per RXO share — implied $30.25, a ~29% premium to Friday's close. Holders can elect all-cash ($30.25) or all-stock (0.1992 CHRW), prorated to roughly 57% cash / 43% stock overall. RXO holders end up with ~11% of the combined company, and MFN Partners (~17% of RXO) has agreed to vote in favour. Target close is 1H 2027, pending RXO holder approval and regulators.

Tape: RXO was trading around $28.80 (~+23%) per Benzinga's midday movers list, so the market is still leaving roughly a 5% gap to headline terms. Part of that is time (closing isn't until next year) and part is antitrust risk — this puts two of the bigger US truckload brokers under one roof. Because ~43% of the consideration is CHRW stock, RXO will now partly trade off CHRW, so watch the pair rather than RXO alone.

Scalper read: once a deal like this is priced in, RXO usually goes quiet and pinned to CHRW × ratio + cash; the tradable bits are CHRW's reaction (acquirer dilution vs synergy story) and read-throughs to other brokers/3PLs. Not a momentum name any more.

Sources (public): C.H. Robinson/RXO joint press release (Business Wire) and RXO 8-K, 5 Oct; Benzinga movers, Mon 5 Oct.

Anyone trading the spread or CHRW itself today? Do you think regulators let two big brokers combine without a fight?
