TW ~+3% AH: Tradeweb buying Trumid for ~$1.97bn, mostly cash — a bigger push into e-credit vs MarketAxess

Post by LondonNewsTrader »

Market-structure deal worth knowing if you trade the exchange and venue names.

Tradeweb (TW) agreed Monday evening to buy Trumid, the electronic corporate-bond trading platform. Headline price ~$1.97bn: $1.75bn for the business plus ~$220M of tax assets. Consideration is ~$1.89bn cash, funded mostly from cash on hand, plus $82M in TW equity (733,900 LLC units to Trumid's rollover holders).

Points from the release and 8-K:
- Adds Trumid's protocols (Swarms, Attributed Trading) and its hedge fund and systematic client base to TW's institutional credit franchise
- Pushes TW into grey-market and new-issue bond trading, so it covers a bond from issuance through to secondary trading
- Expected to be accretive to adjusted EPS in the first full year after closing
- Targeted close in 1H 2027, subject to regulators. Outside date 19 Oct 2027, extendable to 24 months. TW owes a $105M termination fee in certain cases
- Call today at 13:30 London (08:30 ET)

TW was ~+3–3.7% after hours around $118. The obvious read-across is MarketAxess (MKTX), the incumbent in e-credit, which now faces a bigger combined competitor. Worth watching how it trades at the open, and whether the TW gap holds through the call.

Anyone trading MKTX on this as the sympathy short, or is that too crowded a pair? And does more consolidation in bond venues change anything for retail access to corporate bonds?
