Wolfspeed said after Wednesday's close that the Department of War, through its Office of Strategic Capital, sent a conditional commitment letter for up to $1.5B of long-term financing. Reuters had the stock up ~27% in extended trading, and early pre-market data showed it ~+16% around $36.3.
Terms from the 8-K:
- Senior secured delayed-draw term loan in up to four tranches. The first $600M would refinance the 2030 first-lien notes, and the remaining $900M comes in $200–400M pieces.
- 30-year maturity, 36-month draw period, provisional pricing of Treasuries +1.25–1.75%.
- Uses: domestic SiC materials and power devices, GaN epitaxy upgrades for communications and electronic warfare, and radiation-hardening.
- The government would get warrants for up to 7.5% of fully diluted equity, issued in tranches.
- It's not done: still subject to diligence, definitive agreements, approvals and other financial conditions.
Context: this is the post-bankruptcy Wolfspeed (it went through Chapter 11 last year), so the shareholder base and float look nothing like the old WOLF.
How I'd trade it:
- This is a headline gap on a conditional deal, so I see two paths. Either it holds pre-market VWAP and the after-hours high after the open and trends, or the first 15 minutes sell the news and it drifts back toward Wednesday's close (~$31.4).
- The warrants mean dilution, but cheap 30-year money replacing the 2030 notes is a real balance-sheet change. That's the bull argument dip buyers will lean on.
- Pre-market spreads will be wide. Size down and use limits.

Do you treat government-financing headlines as gap-and-go or fade setups? Anyone mapping levels on WOLF for the open?
