IonQ (IONQ) announced a definitive agreement this morning to acquire Elisity, a private Zero Trust cybersecurity company, in an all-stock deal valued at up to $1.3B (WSJ had it first). The stock was down more than 8% midday, with Rigetti (RGTI) and D-Wave (QBTS) each off roughly 5% in sympathy.

Deal terms that matter for the tape:
- All stock, including up to $150M in performance earnouts.
- Share count is set from IonQ's 20-day VWAP before closing, with a collar of $33.07–$49.61 per share. That means more dilution if IONQ trades toward the bottom of that band.
- Expected to close in Q4 2026, subject to regulatory approval.
- The pitch: pair IonQ's post-quantum cryptography / QKD with Elisity's enterprise Zero Trust platform, so it's a security revenue bolt-on, not a quantum-hardware story.

Why scalpers care:
- High-beta quantum names hate dilution headlines; the collar gives the market a reason to lean on the stock until closing.
- The sympathy selling in RGTI / QBTS has no news of its own, so those moves tend to reverse faster if IONQ stabilises.
- Optical and other AI momentum names are also being sold today, so some of this is plain de-risking, not just the deal.

How I'd trade it:
- I'd watch whether IONQ holds the morning low; a lower low in the afternoon usually means funds are still leaving.
- I'd stay away from catching knives in the sympathy names until IONQ itself bases.

Is anyone trading the IONQ flush, or is the dilution collar enough to keep you out until the deal closes? Fade RGTI/QBTS sympathy or leave it alone?
