CMG ~+6–7% / SBUX ~-3–5%: FT says Starbucks has explored a Chipotle takeover — Niccol reunion, no offer confirmed

The Financial Times reported this morning (ET) that Starbucks has worked with advisers in recent months on a possible takeover of Chipotle. CMG jumped ~6–7% on heavy volume and SBUX traded ~3–5% lower through midday.
What's actually in the report:
- "Explored", not "in talks". It's unclear whether any formal offer was made, and the FT's sources flagged that a deal this size may never happen.
- It would be the biggest restaurant deal ever by a wide margin. CMG's market cap is roughly $41B after the pop, versus the old record of ~$11B (Burger King / Tim Hortons, 2014).
- The obvious angle: SBUX CEO Brian Niccol ran Chipotle until 2024. Axios also notes Semafor reported earlier this month that Chipotle had hired defence advisers against activists or unwanted approaches.
- Neither company had commented as of midday.
How I'd trade it:
- This is a rumour gap, not a deal spread. With no price and no confirmation, CMG trades on headlines. The first comment from either side, or "explored" firming into "in talks", is the next real catalyst.
- Watch whether CMG holds the morning gap and VWAP into the close. If it fades back toward Wednesday's close, the market is pricing a low chance of a bid.
- SBUX is the acquirer with a turnaround still in progress. Weakness there is the market voting on balance-sheet risk. Don't assume it snaps back.
- A denial would hit CMG fast. Size so an overnight headline can't hurt you badly.

Anyone trading the CMG gap, or fading SBUX? How much weight do you give an "explored" M&A story with no confirmation?
