PTC: Schneider Electric agrees $205/sh all-cash buy (~$22.6B) — ~42% premium; close by Q3 2027

Schneider Electric confirmed early Monday (European time) that it will buy PTC for $205 per share in cash, valuing the equity at about $22.6B (EV ~$23.7B). That is roughly a 42% premium to Friday's close and ~46% over the 30-day VWAP. The FT had flagged talks at around ~$20B on Sunday, so the confirmed price landed above the leak. Closing is targeted by Q3 2027, pending PTC shareholder and regulatory approvals.
Scalper read: once a cash deal is signed, the target usually pins a spread below the offer — the tradeable bit is the opening print and how wide that spread sits (wide = market doubts regulators/timing). Also worth watching read-across in industrial/PLM software (ADSK, Dassault Systèmes) and Schneider itself in Paris.

Anyone trading the arb spread here, or just watching peers for sympathy? How wide would the spread need to be before you'd worry about a regulatory snag?
